1. Scope of Services
We provide digital marketing services including but not limited to:

  • Web Development and Maintenance
The exact scope of work will be outlined in a written proposal, quotation, or service agreement shared with the client.
2. Engagement & Payment Terms
  • Services commence only after acceptance of the quotation and receipt of the initial payment or advance (as specified in the agreement).
  • All invoices must be paid within the stipulated timeline mentioned in the invoice or contract.
  • Late payments may incur a penalty or interest charge as per company policy.
  • All payments are non-refundable once the service has commenced, except where expressly stated otherwise.
3. Client Responsibilities
  • The client must provide all necessary access credentials, materials, and approvals required for executing campaigns.
  • Any delay in providing information or feedback may affect delivery timelines.
  • The client must ensure that all content, images, or materials provided do not infringe upon any third-party rights.
4. Performance & Deliverables
  • While we strive to achieve the best possible outcomes, Chandra Digital Kart does not guarantee specific results (such as website ranking or sales increase), as digital performance depends on multiple external factors.
  • Deliverables and timelines will be clearly defined in the project proposal or contract.
5. Intellectual Property
  • All creative materials, designs, and campaign assets produced by Chandra Digital Kart remain the agency’s property until full payment is received.
  • Upon full payment, ownership of final approved materials will transfer to the client, unless otherwise stated.
  • The agency reserves the right to showcase completed projects in its portfolio and marketing materials.
6. Confidentiality
Both parties agree to maintain confidentiality regarding proprietary or sensitive business information shared during the project.Confidential information will not be disclosed to any third party without prior written consent.

7. Third-Party Services
  • Some campaigns may involve third-party tools or advertising platforms (Google, Meta, etc.).
  • Chandra Digital Kart is not liable for any issues, downtime, or changes in policies of such third-party platforms.
  • Any additional costs (e.g., ad spend, domain, hosting) shall be borne by the client unless agreed otherwise.
8. Termination
  • Either party may terminate the agreement by giving a written notice of 7 days.
  • Upon termination, all outstanding payments for services rendered must be settled immediately.
  • No refund will be issued for work already completed or services already delivered.
9. Limitation of Liability
Chandra Digital Kart shall not be held liable for any loss of data, revenue, or profits arising from the use of its services.The total liability of the agency shall not exceed the total fees paid by the client for the specific project.
10. Dispute Resolution & Jurisdiction
Any disputes arising out of these Terms and Conditions shall be subject to the jurisdiction of the courts located in [Kolkata, India].All disputes shall be settled amicably before pursuing legal action.
11. Amendments
Chandra Digital Kart reserves the right to update or modify these Terms and Conditions at any time.The updated version will be effective immediately upon posting on our website.

How do you handle intellectual property for creatives, ad copy, and campaign materials?

Unless otherwise agreed in writing, Chandra Digital Kart retains ownership of its pre-existing tools, templates, methods, and know-how. Upon full payment, the client receives a non-exclusive, non-transferable license to use the final deliverables created specifically for the client’s campaigns (e.g., ad creatives, copy, reports) for their intended business purposes. Client-provided logos, trademarks, images, and brand assets remain the client’s property, and the client confirms they have the rights to supply and use them. Any third-party or stock assets are subject to their respective licenses and restrictions.

What is your payment, invoicing, and refund policy for social media marketing services?

Fees, billing frequency, and payment due dates are defined in the proposal, invoice, or service agreement. Payments are typically due in advance for monthly retainers and before work begins for one-time projects, unless stated otherwise. Late payments may pause service delivery and campaign management until accounts are brought current. Refunds are not guaranteed and, where applicable, are limited to the unused portion of prepaid services at our discretion. Third-party costs (including but not limited to ad spend, software subscriptions, and platform fees) are non-refundable once incurred.

Are you responsible for ad performance, platform changes, or account restrictions imposed by social networks?

We use professional best practices to plan, launch, and optimize campaigns; however, we do not guarantee specific outcomes such as sales volume, leads, follower growth, reach, or ROI, as results depend on multiple factors outside our control (market conditions, audience behavior, creative response, landing page performance, budget, and competition). Social platforms may update algorithms, policies, pricing, or features at any time and may restrict, suspend, or reject accounts/ads. Chandra Digital Kart is not liable for platform actions or changes, but we will assist with reasonable efforts to troubleshoot and provide guidance for compliance and recovery.

How are payments, invoices, and refunds handled?

All fees for social media marketing services are due as outlined in your proposal, invoice, or service agreement. Payments may be required upfront, in milestones, or on a recurring basis depending on the plan selected. Invoices must be paid within the stated due date; late payments may result in paused work, delayed deliverables, or suspension of related accounts/campaign management. Refunds are generally not provided for completed work, consulting time, ad spend, or partially delivered monthly retainers. If a billing issue occurs (e.g., duplicate charge), please contact us promptly with invoice details so we can review and resolve it.

How do you handle international payments, currency conversion, and bank/processing fees?

We may accept international payments in select currencies via approved payment processors or bank transfer, as indicated on your invoice or service agreement. If you pay in a different currency than the invoiced currency, your bank or payment provider may apply exchange rates, conversion margins, and additional charges. Unless expressly stated otherwise in writing, you are responsible for all intermediary bank fees, wire charges, card processing fees, and any currency conversion costs so that the net amount received by Chandra Digital Kart matches the invoiced amount. We do not control exchange rates, processing timelines, or fees imposed by third parties.

What are your responsibilities as a client for social media marketing services?

To deliver services effectively, you agree to provide accurate information, timely approvals, and necessary access to your social media accounts, ad accounts, analytics tools, and relevant business materials. You are responsible for ensuring that product/service claims, promotions, pricing, and legal disclosures you request are accurate and compliant with applicable laws and platform policies. Delays in feedback, missing assets, or restricted access may affect timelines and performance. You also agree not to request or engage in prohibited practices such as fake followers/engagement, deceptive advertising, or any activity that violates platform terms.

How do you handle payments, invoices, and taxes?

All fees for our social media marketing services are quoted in advance and outlined in the agreed proposal, invoice, or service agreement. Payment terms (including due dates, accepted payment methods, and any applicable setup or recurring charges) will be stated on the invoice. Taxes, bank/transaction fees, and other statutory charges-if applicable-may be added as required by law. Late payments may result in a pause of services, delayed deliverables, or suspension of access to campaign assets until outstanding amounts are settled.

What is your refund and cancellation policy?

Refunds and cancellations depend on the stage of work and the type of service purchased. Strategy, onboarding, audits, and creative work typically involve allocated time and resources and may be non-refundable once initiated. For monthly retainers, you may request cancellation by providing written notice as per the notice period mentioned in your agreement; services will continue through the paid period unless otherwise specified. Any third-party costs (ad spend, tools, subscriptions, influencer fees, printing, etc.) are non-refundable and are governed by the respective provider’s policies.
